CCPA CONTRACT ADDENDUM
This California Consumer Privacy Act (CCPA) Addendum (this “Addendum”) forms a part of the contract (the “Contract”) between Astoria Company and the entity providing services to Astoria Company (the “Client”, “Company”, and/or “Vendor”). The parties agree as follows:
(1) Definitions: For purposes of this Addendum, the following terms shall mean as follows:
“Consumer”: means a natural person.
“Delete”: means the process to remove, obliterate, destroy or erase all written, electronic or other forms of information such that it cannot be retrieved in any fashion.
“Personal Information”: means information that identified, relates to, describes, is capable of being associated with, or could reasonably be linked, directly or indirectly, with a particular Consumer or household and shall include, but is not limited to the examples of personal information identified in Cal. Civ. Code Section 1798.140(o) of the California Consumer Privacy Act.
“Sell”: means selling, renting, releasing, disclosing, disseminating, making available, transferring, or otherwise communicating orally, in writing, or by electronic or other means, a Consumer’s Personal Information by the Client and or Vendor to a third party for monetary or other valuable consideration.
“Services”: means the performance of the services and activities provided pursuant to or in connection with the Contract previously entered into between Client and or Vendor and Astoria Company.
“Service Provider”: means an entity that processes information on behalf of a business and to which the business discloses a Consumer’s Personal Information for a business purpose pursuant to a written contract.
(2) Definitions: In order for the Vendor to provide Services to Astoria Company , Astoria Company may disclose Personal Information to Vendor. Vendor and Astoria Company agree that Client and or Vendor is acting as a Service Provider to provide Services to Astoria Company.
(3) Deletion: Upon Astoria Company’s written request, and subject to and in accordance with all applicable laws, the Service Provider agrees to promptly delete any and all Consumer Personal Information pertaining to an individual whose name and identity is provided to Service Provider.
(4) Prohibited Use: Service Provider agrees not to Sell Personal Information. Service Provider further agrees not to retain, use or disclose Personal Information obtained from Astoria Company (i) outside the direct relationship between Astoria Company and Service Provider, and (ii) for any purposes other than for the specific purposes of performing the Services specified in the Contract.
Any dispute or claim relating in any way to your use of this website, including any related calls texts or other communications, will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. This includes claims against our clients, vendors, and Marketing Partners, which are third party beneficiaries of this arbitration agreement. The Federal Arbitration Act and federal arbitration law apply to this agreement.
There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these terms as a court would.
The arbitration may be conducted by the American Arbitration Association (AAA) under its rules, including the AAA’s Supplementary Procedures for Consumer-Related Disputes. The AAA’s rules are available at www.adr.org or by calling 1-800-778-7879. You may choose to have the arbitration conducted by telephone, based on written submissions, or in person in the county where you live or at another mutually agreed location.
We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration we each waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuses of intellectual property rights.
